01 Agreement to Terms
These Terms and Conditions constitute a legally binding agreement between you ("Client") and Ridera Labs ("Company," "we," "us," or "our"), concerning your access to our website and any website development, software engineering, or related services we provide.
- By engaging our services or accessing our website, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree, you must discontinue use of our services immediately.
02 Scope of Services
Ridera Labs provides custom website design, software development, and related technical services. The specific scope, deliverables, timeline, and pricing will be outlined in a separate Project Proposal or Statement of Work.
- Scope Creep: Any requests for additional features, pages, or modifications outside the originally agreed-upon scope will be subject to additional billing at our standard rate or as a separately quoted add-on.
03 Client Obligations
To ensure timely and successful project delivery, you agree to:
- Provide all necessary content, images, branding assets, and feedback in a timely manner.
- Grant us necessary access to existing hosting environments, domain registrars, or third-party accounts required to complete the work.
- Review deliverables promptly. Delays in client feedback exceeding 14 days may result in paused timelines or project adjustments.
04 Payment Terms
Unless otherwise specified in your Project Proposal, our standard payment terms are as follows:
- Deposits: An initial, non-refundable deposit is required before any project work commences.
- Milestones: Remaining balances will be billed upon completion of pre-defined project milestones or prior to final launch.
- Late Payments: Final deliverables and administrative access will not be released until the project is paid in full. We reserve the right to suspend services for invoices overdue by more than 15 days.
05 Intellectual Property Rights
Upon project completion and receipt of full payment:
- The Client assumes full ownership of the final website design, visual assets, and bespoke content created specifically for the project.
- Ridera Labs retains intellectual property rights to underlying pre-existing code, open-source libraries, and proprietary frameworks. The Client is granted a non-exclusive, perpetual license to use these as part of the final delivered product.
- We reserve the right to showcase completed projects in our portfolio and marketing materials unless a strict NDA is signed prior to project commencement.
06 Warranties and Limitation of Liability
While we strive to deliver secure, high-performing, and error-free software, technology is inherently subject to change. Therefore:
- "As-Is" Provision: Following final approval and launch, the product is delivered "as is." Ridera Labs is not responsible for future issues caused by third-party server updates, plugin deprecations, browser updates, or unauthorised client modifications.
- Bug Fixes: We offer a limited 30-day post-launch warranty to address critical bugs directly related to our development. New feature requests during this period are treated as new billable work.
- Liability Cap: In no event shall Ridera Labs be liable for any indirect, consequential, or special damages. Our total liability shall not exceed the total fees paid by the Client for the specific project in question.
07 Termination
Either party may terminate the project agreement with written notice if the other party breaches these terms and fails to correct the breach within 14 days. In the event of termination by the Client, Ridera Labs will retain the initial deposit and bill for any uncompensated work completed up to the cancellation date. 08 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding related to our services shall be brought exclusively in the applicable courts in India.
